  1. INTRODUCTION

These Terms and Conditions (“Terms”) govern access to www.nestabotanicals.com and the submission, booking or purchase of services through the website.

The website is operated by Nesta Botanicals, a proprietorship established under the laws of India, with its principal place of business at Unit 39, Industrial Area Nagri, Phase 2, Tehsil Palampur, District Kangra, Himachal Pradesh 176059, India.

References to “Nesta,” “we,” “us” or “our” mean Nesta Botanicals. “You” means the website visitor, prospective client, client, purchaser or person acting on behalf of a business.

By using the website, submitting a project brief or purchasing a service, you agree to these Terms, our Privacy Policy and any service-specific policy presented at the time of booking or purchase.

  1. B2B PURPOSE

Nesta provides product-development, formulation, manufacturing, testing, packaging and regulatory-support services primarily to businesses, brand founders and professionals.

You must be at least 18 years old and legally capable of entering into a binding agreement.

If you act for a company, partnership or other organisation, you confirm that you are authorised to act on its behalf.

  1. WEBSITE INFORMATION

Website content is provided for general business and informational purposes.

Although we take reasonable care in preparing it:

• product capabilities, ingredients, MOQs, timelines and indicative prices may change;
• website content is not a final quotation or manufacturing commitment;
• examples do not guarantee identical results for another project; and
• regulatory information does not replace advice from a qualified professional in the target market.

Nesta may correct errors and update or withdraw website content without prior notice.

  1. PROJECT ENQUIRIES

Submitting a Start Your Project brief or contacting Nesta:

• does not oblige Nesta to accept the project;
• does not constitute confirmation of technical or regulatory feasibility;
• does not reserve manufacturing capacity;
• does not constitute a final quotation; and
• does not automatically create a manufacturing, development or exclusivity agreement.

Project acceptance remains subject to technical, regulatory, production, capacity, documentation and commercial assessment.

You are responsible for providing accurate and sufficiently complete project information. Nesta may rely on the information provided when making preliminary recommendations.

  1. CONSULTATION SERVICES

A Product Development & Manufacturing Consultation is a focused advisory session based on the information available at the time.

Unless expressly stated otherwise, a consultation may include preliminary discussion of:

• product selection and portfolio direction;
• white-label, private-label or custom-development routes;
• ingredients and formulation objectives;
• indicative MOQs and budget considerations;
• packaging and manufacturing feasibility;
• development stages and indicative timelines; and
• general regulatory or export-documentation considerations.

A consultation does not include custom formulation development, proprietary formula disclosure, laboratory trials, physical samples, detailed technical research, final costing, guaranteed regulatory approval, a technical dossier or a final manufacturing quotation.

Consultation bookings are also governed by the Consultation & Cancellation Policy, which forms part of these Terms.

  1. DEVELOPMENT AND MANUFACTURING SERVICES

Custom R&D, sampling, testing, packaging and commercial manufacturing are quoted separately.

These services may be governed by an approved proposal, purchase order, invoice, development brief, NDA, manufacturing agreement or other written terms.

If a separately signed agreement conflicts with these website Terms, the signed agreement will prevail for the relevant project.

Timelines remain subject to matters including ingredient availability, packaging procurement, client approvals, testing, regulatory review, payment and force-majeure events.

  1. PRICES, TAXES AND PAYMENT

Prices displayed on the website are stated in Indian Rupees unless otherwise indicated.

Applicable GST, shipping, payment-processing, testing, packaging, regulatory or other charges may be added where stated.

A booking or order is confirmed only after successful payment and confirmation through the applicable booking or checkout system.

International clients are responsible for bank charges, currency-conversion charges and taxes or duties imposed in their jurisdiction.

Nesta may correct an obvious pricing or technical error before providing the relevant service. If payment has already been collected for a service affected by such an error, you may choose to accept the corrected price or receive a refund.

  1. CANCELLATIONS, RESCHEDULING AND REFUNDS

Consultation cancellations, rescheduling, late arrivals, no-shows and the treatment of consultation fees are governed by the Consultation & Cancellation Policy.

Payments relating to formulation development, sampling, testing, packaging or manufacturing are governed by the applicable written proposal, invoice or agreement and are not covered by the consultation policy unless expressly stated.

  1. NO GUARANTEE OF COMMERCIAL OR REGULATORY OUTCOME

Nesta provides professional recommendations in good faith based on the information supplied, available technical knowledge and the scope purchased.

We do not guarantee:

• commercial success, sales, profitability or return on investment;
• acceptance by a retailer, marketplace, investor or distributor;
• regulatory approval in India or another jurisdiction;
• patentability, registrability or freedom to operate;
• final manufacturing cost before specifications are confirmed; or
• that every proposed ingredient, claim, package or product concept will prove feasible.

Final business decisions remain the client’s responsibility.

  1. INTELLECTUAL PROPERTY

The website and its text, graphics, photographs, videos, logos, layout and other original content are owned by or licensed to Nesta and may not be copied, republished, commercially exploited or misrepresented without written permission.

Materials supplied by a client remain the property of the client or relevant rights holder.

Nesta’s pre-existing formulations, processes, know-how, methods, templates and technical knowledge remain Nesta’s intellectual property unless expressly transferred under a separate written agreement.

Payment for a consultation does not transfer ownership of any formula, manufacturing process, research, intellectual property or proprietary know-how.

Ownership, licensing, exclusivity or transfer of a custom formulation must be expressly agreed in writing and may involve separate charges.

  1. CONFIDENTIALITY

Nesta treats non-public project information as business-confidential in the ordinary course.

However, submitting a form, sending an enquiry or attending a consultation does not by itself create a formal non-disclosure agreement.

Where detailed proprietary information or trade secrets will be exchanged, the parties may enter into a separate NDA before disclosure.

You must not provide information that infringes another person’s intellectual-property or confidentiality rights.

  1. ACCEPTABLE USE

You must not:

• use the website for an unlawful or fraudulent purpose;
• attempt to interfere with the website’s operation or security;
• introduce malicious code;
• impersonate another person or organisation;
• scrape, reproduce or commercially exploit website content without permission;
• submit misleading, defamatory or infringing material; or
• use Nesta’s name, licences, certifications or documents to imply an unauthorised relationship or approval.

Nesta may restrict access or decline a project where misuse is suspected.

  1. THIRD-PARTY SERVICES

The website may use or link to services operated by Shopify, BookX/Bookeasy, Primy, payment providers, Google and other third parties.

These services are governed by their respective terms and privacy policies. Nesta is not responsible for an interruption or failure caused solely by an independently operated third-party platform, although we will take reasonable steps to assist where the issue affects a purchased service.

  1. DISCLAIMERS

To the extent permitted by law, the website and general website content are provided on an “as available” basis.

Nothing in these Terms excludes a right or remedy that cannot lawfully be excluded under applicable consumer-protection or other mandatory law.

  1. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Nesta will not be liable for indirect, incidental, special or consequential loss, including loss of profit, opportunity, goodwill, anticipated savings or business arising from use of the website or reliance on preliminary guidance.

Where liability cannot be excluded, Nesta’s aggregate liability relating to a particular purchased service will not exceed the amount actually paid to Nesta for that service giving rise to the claim.

This limitation does not apply where liability cannot lawfully be limited, including liability resulting from fraud or wilful misconduct.

  1. FORCE MAJEURE

Nesta will not be responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, government restrictions, regulatory delay, labour disruption, utility or internet failure, transport interruption, supply shortages or failure of essential third-party infrastructure.

Where possible, Nesta will communicate the delay and propose a reasonable revised arrangement.

  1. PRIVACY

Personal data is handled in accordance with Nesta’s Privacy Policy.

  1. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of India.

The parties will first attempt in good faith to resolve a dispute through written communication.

Subject to applicable mandatory consumer rights, courts of competent jurisdiction in District Kangra, Himachal Pradesh will have jurisdiction over disputes arising from these Terms or the website.

  1. SEVERABILITY

If any provision is held invalid or unenforceable, the remaining provisions will continue to apply. The affected provision will be interpreted as closely as legally possible to its intended commercial effect.

  1. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in our services, business practices or legal obligations.

The revised Terms will be published with an updated date. Terms applicable to a confirmed purchase will be those presented or incorporated when that purchase was made, unless a change is required by law or agreed by the parties.
